About the opportunity
We are seeking a Senior Corporate Counsel to join our New York office and support technology and fintech clients on commercial transactions, regulatory compliance, and select M&A matters.
Responsibilities
- Draft, review, and negotiate SaaS agreements, MSAs, DPAs, and vendor contracts.
- Lead legal due diligence workstreams for acquisitions and financing activities.
- Provide guidance on data privacy matters, including GDPR, US state privacy laws, and emerging AI contract considerations.
- Manage outside counsel relationships and mentor one junior associate.
- Partner with business stakeholders to develop risk-balanced commercial terms.
- Ensure compliance with conflicts-of-interest and ethics policies without exception.
Must-have skills
- Juris Doctor (JD) degree and active bar membership (New York preferred or willingness to waive in).
- 6+ years of experience in corporate and commercial law practice.
- Experience with M&A due diligence and preparation of disclosure schedules.
- Strong skills in contract negotiation and contract drafting.
- Knowledge of data privacy fundamentals, including GDPR and CCPA.
- Strong understanding of professional responsibility and conflicts management.
Nice-to-have skills
- Experience working in the technology/SaaS industry.
- Expertise in AI and data licensing clauses.
- Experience supervising and mentoring associates.
- Exposure to fintech or healthcare regulatory matters.
- Experience serving as second chair or lead counsel on transaction closings.
